End User License Agreement (EULA) & Terms of Service
PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING ANY SOFTWARE PRODUCTS, APPLICATIONS (INCLUDING BUT NOT LIMITED TO FIKOSEARCH, FIKO UNLOCKER, SECUREVAULT, USER DETAILS TRACKER, AND ORACLE AUTOMATION SCRIPTS), DOCUMENTATION, OR SERVICES PROVIDED BY FIKO LLC ("COMPANY", "DEVELOPER", "WE", "US", OR "OUR").
BY DOWNLOADING, INSTALLING, COPYING, CLICKING "I AGREE", OR OTHERWISE USING THE SOFTWARE, YOU ("USER", "LICENSEE", OR "YOU") AGREE TO BE LEGALLY BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
1. Grant of License
Subject to the terms of this Agreement and payment of applicable license fees, FIKO LLC grants you a non-exclusive, non-transferable, revocable license to use the Software solely in executable machine-readable binary form, strictly subject to the machine activation limits and license type purchased:
- Perpetual Single-Machine License: Unless explicitly noted otherwise, each purchased license key authorizes activation and execution on one (1) primary physical computer system locked via hardware identifiers.
- Upgrade & Maintenance Window: Perpetual licenses permit using the licensed version indefinitely. Access to major upgrades, newer releases, and updates published after your free upgrade period (e.g., 6 months, 1 year, or lifetime as specified at purchase) may require a separate maintenance renewal.
2. Restrictions on Use
You agree not to, and you shall not permit any third party to:
- Decompile, disassemble, reverse engineer, decrypt, extract, or attempt to derive the source code of the Software;
- Modify, adapt, translate, create derivative works from, or tamper with the Software or its cryptographic license verification authority;
- Circumvent, disable, bypass, or defeat any licensing, copy protection, anti-clock-tampering, or hardware locking mechanism;
- Rent, lease, lend, sell, sublicense, redistribute, host, or commercially time-share the Software without express written consent from FIKO LLC;
- Use the Software for any illegal, unauthorized, fraudulent, or harmful purposes, or in violation of any applicable local, state, federal, or international laws.
3. Complete Disclaimer of Warranties ("AS-IS")
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FIKO LLC, ITS FOUNDER (FIKRAT ISMAYILOV), AFFILIATES, LICENSORS, AND CONTRACTORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, IMPLIED, OR ORAL, INCLUDING BUT NOT LIMITED TO:
- THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
- ANY WARRANTY THAT THE SOFTWARE WILL OPERATE UNINTERRUPTED, ERROR-FREE, BUG-FREE, SECURE, ACCURATELY, OR WITHOUT DATA LOSS;
- ANY WARRANTY THAT THE SOFTWARE WILL SATISFY YOUR SPECIFIC BUSINESS, LEGAL, ACCOUNTING, OR TECHNICAL REQUIREMENTS, OR WORK COMPATIBLY WITH ALL HARDWARE, OPERATING SYSTEMS, THIRD-PARTY SOFTWARE, OR FILE SYSTEMS;
- ANY WARRANTY REGARDING THE SPEED, ACCURACY, COMPLETENESS, RELIABILITY, OR INTEGRITY OF INDEXING, SEARCH RESULTS, FILE UNLOCKING, FILE DELETION, CLOUD OPERATIONS, OR DATABASE AUTOMATION SCRIPTS.
YOU ASSUME THE ENTIRE RISK AS TO THE RESULTS, QUALITY, PERFORMANCE, AND ACCURACY OF THE SOFTWARE AND ANY OUTPUT GENERATED THEREBY.
4. Absolute Limitation of Liability & Zero Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, FIKO LLC SHALL NOT BE LIABLE UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY, TORT, OR OTHER LEGAL OR EQUITABLE THEORY ARISING OUT OF OR RELATING TO:
- File System and Data Operations: Any loss, corruption, overwriting, unrecoverable deletion, or alteration of files, databases, system files, or data occurring while using search indexing, file unlocking, force-deletion, file locking, or automation features;
- Database and Script Execution: Any database downtime, lockouts, replication delays, transaction rollbacks, or administrative interruptions occurring during the execution of Oracle DBA scripts, maintenance routines, or diagnostics;
- Unauthorized Access or System Failures: Any unauthorized access, system failure, security breach, third-party intrusion, malware infection, or hardware malfunction;
- Inability to Use: Any inability to download, install, activate, or access the Software due to network, hardware, or third-party server outages.
5. Maximum Aggregate Monetary Liability Cap
NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER, THE ENTIRE AGGREGATE LIABILITY OF FIKO LLC AND ITS DEVELOPER ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE, UNDER ANY AND ALL CAUSES OF ACTION, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE ACTUAL AMOUNT PAID BY YOU FOR THE SPECIFIC SOFTWARE LICENSE GIVING RISE TO THE CLAIM, OR SEVEN UNITED STATES DOLLARS ($7.00 USD), WHICHEVER IS LESS.
IF YOU HAVE RECEIVED THE SOFTWARE AS A TRIAL, COMPLIMENTARY EVALUATION, FREE DOWNLOAD, OR OPEN DIAGNOSTIC TOOL, FIKO LLC'S TOTAL AGGREGATE LIABILITY TO YOU SHALL BE EXACTLY ZERO DOLLARS ($0.00 USD).
6. Indemnification
You agree to defend, indemnify, and hold harmless FIKO LLC, its founder (Fikrat Ismayilov), contractors, and successors from and against any and all claims, liabilities, lawsuits, damages, losses, costs, expenses, or attorney's fees arising out of or resulting from:
- Your breach of any term, condition, or warranty in this Agreement;
- Your misuse, installation, or unauthorized distribution of the Software;
- Any claim that your use of the Software damaged your own or any third party's computer, database, files, networks, or business operations;
- Your violation of any applicable law, regulation, or third-party intellectual property rights.
7. Mandatory Class Action Waiver & Dispute Resolution
YOU AND FIKO LLC AGREE THAT ANY AND ALL DISPUTES, CONTROVERSIES, OR CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL BE RESOLVED EXCLUSIVELY ON AN INDIVIDUAL BASIS.
YOU EXPRESSLY WAIVE ANY RIGHT TO COMMENCE, JOIN, OR PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING AGAINST FIKO LLC OR FIKRAT ISMAYILOV.
8. Governing Law and Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the state or federal courts located in the United States, and you consent to personal jurisdiction therein.
9. User Responsibility for Data Backups
YOU ARE SOLELY RESPONSIBLE FOR CREATING, MAINTAINING, AND VERIFYING INDEPENDENT, COMPLETE, AND REDUNDANT BACKUPS OF ALL YOUR COMPUTER FILES, OPERATING SYSTEM IMAGES, DATABASES, HARD DRIVES, AND CRITICAL DATA PRIOR TO USING THE SOFTWARE. FIKO LLC SHALL BEAR ZERO RESPONSIBILITY FOR RECOVERING LOST OR CORRUPTED DATA.
10. Entire Agreement and Severability
This Agreement constitutes the complete and exclusive statement of the agreement between you and FIKO LLC regarding the Software, superseding all prior proposals, understandings, representations, and agreements. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
